How did the new Burlington Northern handle all of the shares in both GN and NP after the merger was approved?

I believe that the NP was the surviving company after the merger and changed its name to BN. The division of stock into the new company was a complicated formula as the GN was considered the stronger RR but the NP had much greater land assets. I would like to hear if I am correct on these point as I have been looking but cound not find conclusive point on this.
